Terms of Service

1. Purpose and acceptance

These Terms of Service govern access to and use of SAM — Mining Accreditation System, a SaaS platform operated by Ambiros Neural Factory S.A.C. (hereinafter "SAM" or "the Provider"). By registering for or using the service, the contracting firm (hereinafter "the Client") accepts these Terms in full. If the Client does not agree, it must refrain from using the Platform.

2. Description of the service

SAM is a web platform (also available as a PWA) that allows contracting firms in the Peruvian mining sector to: • Register and manage workers and their accreditation documents. • Administer training courses and medical examinations. • Receive automatic document expiry alerts. • Import data in bulk from Excel spreadsheets. • Manage multiple mine sites from a single panel. The Provider reserves the right to modify, extend or restrict the functionality of the service on at least 15 days' notice.

3. Registration and account security

The Client is responsible for keeping its access credentials confidential and for all activity carried out under its account. It must notify info@samacredita.com immediately of any unauthorised use. SAM shall not be liable for losses arising from unauthorised use of the Client's credentials.

4. Plans and billing

SAM offers monthly or annual subscription plans at the rates published on the Platform. Payment is made in advance and is non-refundable, except during the 14-day free trial period. Annual plans carry the discount in force at the time of contracting. The Provider may update prices on 30 days' notice. Failure to pay on the agreed date may result in temporary suspension of access.

5. Acceptable use

The Client undertakes to use the Platform solely for lawful purposes relating to the management of its personnel's accreditation. The following are prohibited: • Uploading false data, or third-party data without authorisation. • Attempting to breach the security of the system or to access other clients' data. • Reselling, sublicensing or transferring access to unauthorised third parties. • Using the service for activities contrary to applicable Peruvian or international law.

6. Ownership of data

Data uploaded by the Client (worker information, documents and so on) is and remains the exclusive property of the Client. SAM does not sell or commercially exploit this data. The Provider acts as a processor as set out in the Privacy Policy. On termination of the contract, the Client may request an export of its data within the following 30 days.

7. Availability and SLA

The Provider undertakes to maintain service availability of 99% per month, excluding scheduled maintenance (notified at least 24 hours in advance) and events of force majeure. For incidents, the target response time is 4 working hours for critical incidents and 24 hours for all others.

8. Limitation of liability

The Provider's total aggregate liability to the Client, on any ground, shall not exceed the amount paid by the Client during the 3 months preceding the event giving rise to it. The Provider shall not be liable for indirect damages, loss of profit or loss of data arising from use of the service, save in cases of wilful misconduct or gross negligence.

9. Confidentiality

Both parties undertake to maintain the strictest confidentiality regarding non-public information learned in the course of the contractual relationship. This obligation remains in force for 3 years after termination of the contract.

10. Termination

Either party may terminate the contract on 30 days' written notice. The Provider may terminate immediately in the event of a serious breach of these Terms by the Client. On termination, access will be deactivated and data may be exported within the period stated in clause 6.

11. Governing law and jurisdiction

This contract is governed by the laws of the Republic of Peru. The parties submit to the Courts and Tribunals of the city of Arequipa for the resolution of any dispute, waiving any other jurisdiction that might otherwise apply.
